Board Meeting Minutes

February 18th, 2026

Present: Brian Hott, David Mayfield, Jaclynn Graybill, Jeff Richman, Alison Jewell, David Pancake, Tamitha Wilkins, Len McMaster, Jon Todd Hott, Cathy Simon.

Excused: Beverly Keadle, Dave Holliday, Jason Hicks, Logan Mantz, Rebecca Miller.

Guests:  Sydney Maurer, Keith McIntosh.

At 10:00 AM, having a quorum, President Brian Hott called the HCDA Board meeting to order. Following was the Pledge of Allegiance and Prayer.

 

Approval of Agenda:  Len McMaster made a motion to approve the agenda.  David Mayfield seconded the motion. Motion carried.

Secretary’s Report – Minutes from January, 2026 board meeting were presented. Dave Pancake made a motion to accept the minutes as read.  Jeff Richman seconded the motion. Motion carried.

Treasurer’s Report:  David Mayfield reported on the financials for the month of January 2026. Director Hott commented that the 3 checks for the appraisals have been cut and will be sent to CBRE after check signatures today.  CBCC deficit because of county commission paid expenses.  Jason Hicks requested a footnote on the financials noting under the CB Community Complex Operations. Whereas the county commission gave ARPA money to renovate the CB Community Complex. Staff will contact Adam Carlin. Len McMaster made a motion to approve the Treasurer’s Report. David Pancake seconded the motion. Motion carried.

CD Renewal – Rate from 4.25% to 3.94%. Will take care at New Accounts at FNB.

Marketing Committee Report: Director Hott reported in the absence of Beverly Keadle.

  • The HC Chamber of Commerce, in collaboration with HCDA, will host a job fair on campus at WVSDB on February 26th at the Brannon Building Auditorium. More planning is to come. Twenty employers are attending, maybe more. RSVPs are at 16, Facebook account is at 48 that are interested in attending. Hampshire High School will host a job fair March 19th.
  • Chamber of Commerce – Jaclynn Graybill (Director-HCCC) and Director Hott reported. Currently 32 paid partners and 68 free members. HC Chamber is sponsoring a monthly educational learning series to businesses who are members of the Chamber of Commerce. Online classes are available as well as in person. First session attendance was 13 participants and second session 9 participants. All positive feedback. Next session will be March 9th.

The next Chamber event will be a Chamber Breakfast on March 27th at Slanesville General Store & Restaurant at 8AM.

  • Workforce Development-Working in collaboration with EWVCTC (Lauren Arbaugh), Hampshire High School (Julie Landis) and WVSDB (Superintendent Burch) to get trade classes set up in the county. Goal is to have a welding class at the high school and also to have an electrical and carpentry class on campus at WVSDB. EWVCTC is helping with funding and project coordination as well as HHS. Commissioner Mantz requested Director Hott and Lauren Arbaugh present this pitch to the County Commission for funding, which the County Commission promised $24,000 towards the project. In terms of the electrical and carpentry classes, Clayton Burch and WVSDB has secured funding for these classes. Needed are instructors.
  • Meeting next Friday with Shepherd University to discuss the Agriculture and Tourism Programs.
  • Hampshire On the Horizon – Fourth class last Tuesday night. We have a confident 10 strong participants. Finale April 21st.
  • Legislative Update – Director Hott communicated with some of the legislators regarding having another event similar to last year. No date yet.
  • Business of the Month for February – Rees Sweets & Treats.
  • Business of the Month for March – Slanesville General Store & Restaurant.

 

Personnel Committee:  No Report.

 

Risk Management & Safety Committee: Tamitha Wilkins.

  • This is the time of year the Health Department is visible in the county schools helping the school nurses. They must do all of their programs that they are required to do per the state. Handwashing in the fall for K-2 and dental now that Dr. Dolly does not do. He is doing the entire county except for Romney. HCHD is doing South Branch Elementary and HeadStart yesterday. March into April will be doing puberty classes for 4th and 5th Consent form will be sent home. March, April and May going to the middle and high schools for WV requirements for those entering into 7th grade and 12th grade, the shots to give parents the opportunity to get them during school.
  • Derek the sanitarian has been very busy. December was heavy with well and septic permits. January slacked off a little bit, but February requests are already where they are during the summer months.

 

Executive Director’s Report & Update-Report submitted for review by Jon Todd Hott.

 

Capon Bridge Tech Park

  • Bungee – Shared with them the requirements for purchase of property. Meeting with them next week to discuss with Bungee owners.
  • Aquabanq – Communicated that he, A.J. Shapiro, will be at our March Meeting.  Not sure whether he will Zoom into the meeting or be here physically.
  • S.J. Morse – David Pancake reported. Accomplished last year getting control of the existing building and assets that Steve Morris owned.  Steve Morris is now retired. That was the risk factor that outweighed the expansion in the park. So, the ESOP now owns all the real estate in Capon Bridge. They have a large warehouse in Winchester presently and the new warehouse will be an alternative space for storage that is planned with one of the production lines to be at the space in Lot 8 of the CBTP.  All the planning and site work that has been done is staying the

same. All the costs and investment in what that lot will ultimately be is accurate. Got the design, ready to go. Just a matter of pulling the trigger on the project.

  • Pro-Refinish – Still interested in property in the CBTP. No update this month.
  • DEP Letter – Received a letter regarding the trash pile at CBTP property. Dave Pancake and S.J. Morse said that they would like to help out with getting this cleanup done. Director Hott said that he ordered a dumpster and will be cleaning the area himself next weekend and install a sign. Some trees need to be removed to expose the area from being hidden. S.J. Morse offered to remove the trees.
  • Logan Mantz asked Director Hott to formalize the quote from Thrasher regarding moving dirt in order to get some of the property out of the floodplain. Bid was $150,000 and will give 7-8 acres back that is in the floodplain. Hott gave the numbers to Mantz to consider with the County Commission whenever funds are available for assistance.

 

Capon Bridge Community Complex

  • Garden of Knead’n – Gave invoice for reimbursement of $2,500.00 (which she earned as 2nd place winner for HOTH) for floor work. Dave Mayfield made a motion to approve. Len McMaster seconded the motion. Motion passed.
  • River House will be moving out of the Community Complex building. Monica Wilson will be leasing that space in addition to another space that she already rents. Wilson will be turning the new space into an art studio. Her plan is to sponsor art shows and serve wine. Must be approved by Parks & Rec as well as the HCDA approval.
  • USDA Grant – Submitting invoices.

 

Romney Industrial Park

  • Multi-Tenant Building – Notice of pay or quit for one of the tenants. Lease will be sent to Hoy Shingleton for review.
  • Potomac Eagle –No report or update. Spoke to Steve Connelly. More than likely the state contract will not be finalized until last summer, early fall. David Pancake, having experience with the state railroad, offered to help communicate with the state regarding the need for the contract to be approved so that the Potomac Eagle can move forward with their plans. Director Hott said he has shared information with the state legislators. What are the 5 major asks for the county? Sharing these thoughts with legislators. One top “asks” would be support for the Potomac Eagle. Must build the data to acknowledge the impact the Potomac Eagle has had on the community. Can contact Lindsay Funk of the WV Division of Tourism to see if they can give support.  Had plans to meet with Funk in Charleston, however, event was cancelled because of snow. Going in March. Pancake stated that there is no longer a State Rail Authority. The one of four pieces of the Inter-Modal group that was formed back in the Caperton days.  Discussion pursued on this subject.  

 

School Street Property

  • Demolition – Reclaim on site. Update at Infrastructure meeting. Superintendent Collette sent a detailed report to share with the board.
  • ECS – Grant submitted. Waiting to hear.

New Business Report

  • J&J Grocery – Submitted business plan. Director Hott asked for others to review.
  • Strategic Plan – Included in Packet. Update on how effective the plan is being used. President Hott suggested having an annual strategic plan meeting.

NEW BUSINESS

  • LED Grant Resolution – submitted for signature. Motion was made by David Mayfield to accept the resolution to be included with the LED Grant Application. Jackie Graybill seconded the motion. Motion carried.

  • Jeff Richman made suggestions on how to handle the cemetery property.

Secretary’s Report – Minutes from October 15th board meeting were presented. Jason Hicks made a motion to accept the minutes as read. David Mayfield seconded the motion. Motion carried.
Treasurer’s Report: David Mayfield reviewed. Tamitha Wilkins made a motion to approve the Treasurer’s Report. Len McMaster seconded the motion. Motion passed.
Marketing Committee Report: Beverly Keadle presented.
• Chamber of Commerce – Costume Business Meetup on October at the American Legion in Capon Bridge 6-8PM.
• Lunch N Learn – AgriTourism event. Working with the Farm Bureau for planning by attending the November meeting with the Farm Bureau. Survey to farmers in the county not a great response.
• Jon Todd Hott, Tina Ladd, Candace DeLong & Logan Mantz attended the Tabler Farms Agricultural Innovation Center at Shepherd College. Came back with two ideas to share with the community.
• Marketing Expense Analysis Report for review. Report reflected around $17,000 in marketing dollars.

• Workforce Development – Now included with Marketing Committee. Have had meetings with EWVCTC, Hampshire High School, Hampshire County BOE. In last meeting identified two classes that we would like to see develop on the campus of WVSDB for their students, high school students or the community as a whole. Working with Lauren Arbaugh of EWVCTC to do a welding and an electrical training class.
• Virtual Conference with EWVEA (Eastern WV Economic Alliance) which is comprised of Morgan, Hampshire, Jefferson and Berkeley Counties. Shot videos in Hampshire County and other counties for promotion of the counties. Alliance allocated up to $5,000 for each county to spend for trade shows.

Personnel Committee: Beverly Keadle was appointed to the Personnel Committee.
Results of the Sub-Committee meeting was for the committee to review a different way to review employees.

Risk Management & Safety Committee: Tamitha Wilkins.
• End of Fall is a busy time at the Health Department. Having mobile flu clinics throughout Hampshire County. Just finished up in Capon Springs area. Offering blood pressure checks also. Still handing out free Covid test kits. Last of the supply from the federal government in July. Not available through the Health Department after that per budget restrictions. They are available through pharmacies and through some insurance plans.
• Construction is now complete. Hopefully, garage to house mobile unit at 911 Center will be complete next week.

Executive Director’s Report & Update-Report submitted for review.

Capon Bridge
• Bungee-J.T. Hott is arranging an executive with the postal service with Karen for next week to
assist with Bungee’s bulk mailing.
• Aquabanq – Email to review. Prospect interested in the land that A.J. has in CB Tech Park. Opportunity for Director Hott to call Shapiro and ask plans for acreage that is designated for Aquabanq.
Are not concerned at this point about the flood zone. Response from A.J. Shapiro is in email. Wants to visit in November or December. Questions welcome for next conversation with Shapiro. Option has expired for optional property. Mantz suggested to redraft agreement.
• S.J. Morse – Visited with Dave Pancake last week. EWVEA shot video at S.J. Morse site.
• Garden of Knead’n – On track to open after Halloween. All equipment is there. Check was signed for electrician. Going to go to site to see progress with Capon Bridge Glass about some things that are going to be done to outside of building.
• USDA Grant – Awarded for grant. Government is shut down. Until then, we will not be able to submit expenses for reimbursement. Cost for plumbing was more than expected.

Romney
• Romney Business Park – Soft Cloth owes October and November.
• Potomac Eagle – Treasurer Pack’s assistant Skylar is acquaintances with Steve Connelly with DOT. Has news for Director Hott since speaking to Connelly about Robert Franzen’s contract. Going to reach out to Skylar.
• Spoke with Kevin Sanders of Special Services. Told him number is not where it needs to be and timeframe is not good and would like to keep open communication.

Old Business
• School Street Demolition –Bids are due on October 28th. Several contractors involved. Abatement schedule, November 20th to December 3rd. Assessment of the property is on a slow track because of government shutdown.
• Wellness Center – Sub-committee to discuss further. No comments or decisions were made in Executive Session.

Board Meeting Minutes

December 18th, 2024

Present: Rebecca Hott, Beverly Keadle, Dorinda Strother, Brian Hott, Jeff Richman, Len McMaster, David Cannon, David Mayfield, Jason Hicks, Tamitha Wilkins, Jon Todd Hott, Cathy Simon.

Having a quorum, President Rebecca Hott called the meeting to order. Following was the Pledge of Allegiance and Prayer.

 

Approval of Agenda: Corrections: Remove under Old Business Approved Lease for Tenants. Add to vote for Strategic Plan. Len McMaster moved to accept the agenda with correction.  Beverly Keadle seconded the motion. Motion passed.

Secretary’s ReportApproval of Minutes: Minutes from November board meeting were presented. Rebecca Miller attended via zoom. Was counted absent. Jeff Richman made a motion to accept the minutes as corrected. Len McMaster seconded the motion. Motion carried.

Treasurer’s Report:   In David Mayfield’s absence at the time of the report, Jon Todd Hott went over the monthly expenses. Report shows expenses over budget, but running a surplus of $5,000 in general fund. New expense paid to Mountain State Lock for Romney Business Park (Multi-Tenant Building) was to replace the complete lock and mechanism for a door to a unit. Hospital Fund is down to $5,200. We continue to pay the loan until this fund runs out and then will receive assistance from the County Commission. Another expense is $200 to White House on Main for renting the Carriage House for the annual Christmas luncheon and $100 for Christmas in Romney. Beverly Keadle made a motion to approve the Treasurer’s Report. Len McMaster seconded the motion. Motion passed. 

Marketing Committee Report: Beverly Keadle absent. Jon Todd Hott reported on her behalf.

  • Lunch N Learn #5 – End of January, maybe February.
  • Annual Meeting – Christmas Luncheon
  • Hampshire On The Horizon event – Registration open for participants by application.

Application deadline is January 31, 2025. Adding two new classes. Main event in May.

Risk Management & Safety Committee: Tamitha Wilkins-Report Attached. Report on Health Department Expansion. Poured concrete pad last week. This week, framers are on site and installing steel beams for walls, knocking out some other walls. Roofers scheduled for January 6th. After roof is completed, outside wall will be removed making way to begin interior work. Mobile unit is confirmed for graphics to be put on end of December. Delivery of unit will be around second week of January once unit is tested. Training will take place then. Unit will be housed at new EMS Building in Romney until the garage is completed.

Executive Director’s Report & Update-Report submitted for review. Director Jon Todd Hott.

  • CBTP – Spoke to Karen at Bungee. They are not interested in purchasing addition property besides what has already been agreed upon. Now have 3 bids for road access construction.
  • Aquabanq – Spoke to A.J. Shapiro yesterday (Dec. 17). Additional information and changes have been forwarded to Steptoe & Johnson. Still moving forward with plans.
  • J. Morse – No Report.
  • Hampshire Wellness Center – Report Attached.
  • Capon Bridge Middle School – Distributed a final copy of Management Agreement to all board members. Reviewed changes. Some changes being changing the name of the facility to Capon Bridge Community Center, extending the contract to one year and renovations to the building.

A motion was made by Beverly Keadle to accept the agreement. Len McMaster seconded the motion. Motion passed. 

  • Gina’s Soft Cloth – Tabled for Executive Session.
  • Potomac Eagle – Met with Franzen. Revised drawings.
  • Direct Answer – Two signatures required to sign security deposit reimbursement.
  • Five Year Strategic Plan – Sent to Strategic Plan Committee for approval. Motion was made by Beverly Keadle to approve. Seconded by Len McMaster. Motion carried.

Jon Todd Hott will visit infrastructure partners to aid in attendance at quarterly meetings.

 

New Business:

  • DNR property interest. Price of property not agreeable.
  • Approval of outside audits.

Communications/Public Comment: Annual Christmas Luncheon will follow the meeting. Meet at the Carriage House at noon. Ribbon cutting for 1762 Wine & Brew afterwards.

 

A motion was made to go into Executive Session to discuss matters by Len McMaster. Seconded by Jeff Richman. No determinations were made during closed session. 

Beverly Keadle made a motion out of Executive Session to accept a bid from one Engineering company. Jason Hicks seconded. Motion passed.

Adjourn – The Board adjourned at 11:40PM.

Board Meeting Minutes

October 16th, 2024

IRC Building

 10:00 AM

 

 

Present: Rebecca Hott, Beverly Keadle, Alison Jewell, Dorinda Strother, Brian Hott, Jeff Richman, Len McMaster, David Cannon, Jon Todd Hott.

Absent: David Mayfield, Jason Hicks, Tamitha Wilkins.

Via Zoom: Rebecca Miller, Chris Stroval.

Guests: Rick Hillenbrand, Sydney Maurer, Logan Mantz.

Having a quorum, President Rebecca Hott called the meeting to order. Following was the Pledge of Allegiance and Prayer.

 

Approval of Agenda: The agenda was approved

A motion was made to amend the agenda with additions to include:

  1. Director Hott’s Expense Report.
  2. Vote for 1762 release of funds for HOTH winnings of $2,500.00.
  3. Vote for CBMS-Report distribute to board members separately.

Board passed unanimously.  Motion carried.

Secretary’s ReportApproval of Minutes: Minutes from September 18th meeting were presented with no additions or corrections made. Board passed unanimously. 

Treasurer’s Report:   In David Mayfield’s absence, Jon Todd Hott went over the monthly expenses. More transactions occurred for the month because of expenses for Lunch N Learn and payment for Bundles of Blessing Daycare. Made motion to accept, board voted unanimously to approve.

Marketing Committee Report: Beverly Keadle absent. Jon Todd Hott reported on her behalf.

  • Lunch N Learn #4 was another successful event. The best received so far.  
  • Board should be able to receive an update on the next Hampshire On The Horizon event at the November meeting.

Executive Director’s Report & Update-Report submitted for review. Director Jon Todd Hott.

  • Hampshire Wellness Center – Report Attached. YTD 114 new members.
  • CBTP – Waiting on bids from engineering firms to plan the future development of the park. Need drawing of layout of park. One bid received by Thrasher. Board requested Director Hott get at least 2 more bids.
  • Aquabanq – A.J. Shapiro will be in Hampshire County on October 22nd to present to the County Commission, an inducement resolution to ask County Commission to serve as a conduit for tax free bond (financing) for the 3 shrimp farms in CBTP. More to report on this topic at the November Board Meeting.
  • J. Morse – No Report.
  • Capon Bridge Middle School – Director presented a separate attachment for Board consideration to assume management of CBMS as of January 2025. He worked closely with Nick Carroll of Parks & Rec to identify all tenants, potential spaces to rent, and all costs associated with managing. He reported that he would need some County Commission input on what they are willing to pay and feels the maintenance estimate provided was extremely low considering the condition of the building. He stated he is thankful to the County Commission for their assistance in repairing the roof. Hoy Shingleton will review the current leases to suggest any additions or corrections; for perspective in managing tenants. Also, to draft a legal document to establish a relationship between Parks and Rec and HC Development Authority.
  • Strategic Planning Committee: Brian Hott reported that the committee met on October 3rd. The committee finalized a new Strategic Plan with 5 key initiatives.

Old Business:

 

  • Board voted unanimously to approve request from 1762 Wine & Brew for payment of $2,500.00.
  • CBMS – Approval to move forward with management of office units at Old Capon Bridge Middle School.

 

New Business:

Board Approval for Jon Todd Hott’s expense report.  Brian Hott made a motion to approve. Dorinda Strother seconded the motion. Motion carried.
